# Governance

#### Principles

Quantix governance is built to hand control to the community responsibly rather than overnight. Three principles guide it. Decentralization is progressive: authority moves to token holders in stages, as the tooling and the participation to exercise it responsibly are in place. Decisions stay expertise-informed: credit underwriting and risk parameters benefit from specialist input, and the governance design preserves a role for that expertise alongside token-weighted voting. And governance is incentive-aligned: those who hold QFI and bear the protocol's direction are the ones who steer it.

#### Current state

Governance today is led by the core team. On-chain, token-weighted voting is not yet live, and the core team stewards the protocol's parameters and direction during this phase. A holder acquiring QFI today is acquiring governance rights that activate as the protocol decentralizes, and the roadmap below sets out how that happens. Quantix states this plainly: the token's governance utility is real and expanding, and it is delivered in phases rather than presented as fully live from day one.

#### Phased decentralization

**Phase 1 — Core-led stewardship (current).** The core team manages protocol parameters, pool and delegate admission, and direction, and publishes the decisions it makes. This phase prioritizes safe, coherent operation while the protocol and its governance tooling mature.

**Phase 2 — Token-weighted voting.** Governance moves on-chain for a defined set of decisions. QFI holders vote, proposals pass on a published quorum and majority, and approved changes are subject to a timelock before they execute. The parameters that will govern this phase are set out below.

**Phase 3 — Broadened decentralization.** The scope of on-chain governance widens, with expert and technical input retained for credit-specific matters where specialist judgment protects lenders. Control continues to distribute as circulating supply and active participation grow.

#### Governance parameters

The mechanics of on-chain voting are published so participants know exactly how a decision is made and enforced.

| Expert / technical input | A Risk & Underwriting Council of named subject-matter experts, appointed initially by the core team and transitioning to community nomination in Phase 3, must co-sign any passed proposal that changes credit-specific parameters — collateral coverage floors, first-loss minimums, concentration limits, or delegate admission standards. All other proposals (fee changes, treasury allocation, ecosystem grants) execute on the standard 3-day timelock alone. |

#### Voting power and the path to distribution

Because a majority of supply is currently held for operations and long-term alignment, token-weighted voting is introduced in step with the release schedule above and the growth of circulating supply, so that as more QFI reaches independent holders, more of the protocol's direction is decided by them. The combination of a published release schedule and phased on-chain governance is how Quantix moves from core stewardship to community control on a timeline that holders can see.
